Terms of Use

Version 1.0 · Effective October 6, 2026 · Last updated October 6, 2026

These Terms of Use ("Terms") are an agreement between you and Unique Catalyst LLC, a California limited liability company, 121 Bernal Road STE 80, San Jose, CA 95119 ("Unique Catalyst," "we," "us"), for Catalyst Connect and related consulting services (the "Services"). By creating an account, joining, purchasing, or using the Services, you agree to these Terms and acknowledge our Privacy Policy.

1. Eligibility and accounts

You must be at least 18 and provide accurate information. Keep your login private; you are responsible for activity on your account. Memberships are personal and may not be shared or transferred.

2. Membership tiers

Catalyst Connect offers a free Community membership and paid Plus and Premium memberships. Features of each tier are described on the membership page and may change over time; we will tell you about material changes.

3. Community standards

Be professional, respectful and inclusive. No harassment, discrimination, hate speech, unwanted solicitation, spam, multi-level marketing or recruitment schemes, deceptive business practices, or sharing other members' information outside the community without permission. What members share in private sessions, roundtables and messages is confidential; do not repeat it outside the community. We may remove content or members who violate these standards.

4. Member-led meetups and connections

Member-led meetups are organized by individual members and are not official Catalyst Connect events unless clearly identified as such. Introductions, matches and collaborations between members are voluntary. Unique Catalyst is not a party to, and is not responsible for, agreements, transactions or business dealings between members. Use your own judgment and meet in appropriate public or professional settings.

5. Paid memberships, automatic renewal and no refunds

  • Paid memberships are billed in U.S. dollars through Stripe, monthly or annually as you choose at checkout.
  • YOUR MEMBERSHIP RENEWS AUTOMATICALLY at the end of each billing period at the then-current price until you cancel. The price, billing frequency and renewal terms are shown before you pay, and you must agree to them before checkout.
  • You can cancel anytime online in Account → Billing. Cancellation takes effect at the end of your current billing period, and you keep access until then.
  • For annual plans, we will email you a reminder before each renewal. We will notify you at least 30 days before any price change applies to you.
  • All payments are non-refundable, including partial billing periods, unused time, or features you did not use, except where required by law. Duplicate charges or billing errors will be corrected.
  • If a payment fails, we may pause paid features until it is resolved. Please contact us before filing a payment dispute; a dispute for a charge covered by these Terms may pause your access while it is reviewed.

6. Consulting services

Consulting engagements are governed by the signed agreement, proposal or statement of work for that engagement, including its scope, fees, schedule and payment terms. If there is a conflict, the signed engagement agreement controls. Without a signed agreement, consulting fees are due before sessions begin and are non-refundable once a session is scheduled. Consulting provides strategy and guidance; you remain responsible for your business decisions.

7. Your content

You keep ownership of what you post or upload. You give us permission to host, display and use it as needed to run the Services and show it to the audience you choose. You are responsible for having the rights to what you share. Do not upload highly sensitive personal, legal, medical, banking, tax, payroll, password, government identification or financial-account information.

8. Our materials

Resources, templates, workshops, recordings and other materials belong to Unique Catalyst or its licensors. You receive a personal, non-transferable license to use them for your own business. Do not copy, resell or distribute them.

9. Events and recordings

Events may be virtual or in person and may change or be canceled. Some sessions may be recorded for members; we will announce recordings in advance. Do not record sessions yourself without permission.

10. No professional advice; no guaranteed results

Content, community discussions and consulting are for business and professional development only and are not legal, financial, tax, medical or investment advice. We do not guarantee revenue, funding, clients, partnerships or any particular result.

11. Suspension and termination

We may suspend or remove accounts for violations of these Terms, misuse, fraud, nonpayment or safety concerns. You may close your account at any time.

12. Disclaimers

The Services are provided "as is" and "as available." We do not promise they will be uninterrupted or error-free.

13. Limitation of liability

To the extent allowed by law, Unique Catalyst is not liable for indirect, incidental or consequential damages, and our total liability for any claim relating to the Services is limited to the amount you paid us in the 12 months before the claim.

14. Disputes

Please contact us first at hello@theuniquecatalyst.com; most concerns can be resolved informally within 30 days. These Terms are governed by California law. Any dispute not resolved informally will be handled in the state or federal courts located in Santa Clara County, California, or in small claims court where eligible.

15. Changes

We will post updated Terms with a new effective date and notify members of important changes; we may ask you to accept again.
